General Sales Terms and Conditions

1. Definitions

1.1 “Buyer” shall mean the entity that places an Order for Product with Traxon Technologies LLC.

1.2 “Traxon” means Traxon Technologies LLC, a Delaware limited liability company with a principal place of business at 2915 Whitehall Park Drive, Suite 400, Charlotte, NC 28273.

1.3 “Conditions” shall mean the General Sale Terms & Conditions set out in this document.

1.4 “Contract” shall mean the contract and/or agreement for the sale and purchase of the Product concluded between Buyer and Traxon.

1.5 “Product” shall mean the item or items which Traxon is to supply to the Buyer under the Contract and in accordance with the Conditions.

2. General

2.1 These General Sales Terms and Conditions (“Conditions”) apply to all sales of Product, and all quotations, order acknowledgements, and invoices from Traxon and to all Orders (as defined below) from Buyer and are the only terms and conditions applicable to the sale of the Product, except those relating solely to prices, quantities, delivery schedules, terms of payment, invoicing, shipping instructions, or descriptions of the products set forth in Buyer’s Order, or any alternate terms of sale contained in the Contract. If there is a conflict between these Conditions and the Contract, the provisions of the Contract shall prevail.

2.2 NO GENERAL TERMS OR CONDITIONS OF THE BUYER SHALL APPLY UNDER ANY CIRCUMSTANCES (INCLUDING ANY GENERAL TERMS OR CONDITIONS WHICH THE BUYER PURPORTS TO APPLY UNDER ANY ORDER, ACCEPTANCE OF ORDER, SPECIFICATIONS OR OTHER DOCUMENTS), UNLESS EXPRESSLY AGREED BY TRAXON IN WRITING.

3. Order & Confirmation

3.1 The Buyer shall send orders (“Orders”) to Traxon in writing, listing the following items: (i) type(s) of Product; (ii) quantity of Product; (iii) applicable unit price; (iv) total price in the Order; and (v) time, place and conditions of delivery, according to Incoterms® 2010. Each Order may contain only one place of delivery, unless specifically requested for in the Order and confirmed by the Traxon either by written confirmation or delivery of Product to the requested locations. The Buyer shall be liable for any incorrect information in an Order.

3.2 An Order is not binding on Traxon unless and until it is confirmed by Traxon in writing or Traxon has delivered the Product to Buyer according to such Order (“Confirmed Order”).

3.3 If Traxon disagrees with certain items in the Order, Buyer and Traxon shall discuss in good faith and resolve the differences so that the Buyer can submit a final Order acceptable to Traxon. Alternatively, Traxon may issue an Order Confirmation with different terms for Buyer to accept.

4. Delivery

4.1 Unless otherwise agreed in writing between Buyer and Traxon, Product shall be delivered according to delivery terms (according to Incoterms 2010) specified in the Confirmed Order.

4.2 Risk of loss shall be transferred to Buyer upon delivery. Except as otherwise provided, title to Product shall be transferred upon delivery to Buyer and payment of the full purchase price.

4.3 Products are shipped in Traxon’s standard packaging unless otherwise agreed in writing. Buyer shall be responsible for the additional costs of any special packaging, delivery method or expedited delivery requested, which may be invoiced separately and in advance of shipment by Traxon.

4.4 Buyer shall take delivery according to the Confirmed Order. If the Buyer fails to take delivery, then:

  1. Product shall be deemed to be delivered and the risk of loss shall transfer upon Traxon’s making the Product available for Buyer according to the Confirmed Order;
  2. Traxon may elect, in its sole discretion, to arrange for storage of the Product at Buyer’s sole expense; or
  3. Traxon may cancel the order without liability to Buyer, and Buyer shall reimburse Traxon for any reasonable costs associated with the cancelled delivery. 

 
4.5 Quotations/orders valued under $5,000.00 USD and customer requested split shipments will be subject to a shipping charge. The customer may provide a collect account number, or Traxon will prepay and add the standard freight charge to the invoice. Quotations/orders valued over $5,000.00 USD are Standard Freight Allowed; for expedited service, please contact Traxon for a freight estimate.

5. Price & Payment

5.1 The price term shall be according to the Incoterms (2010) as specified in the Confirmed Order. The price shall be denominated in the currency specified in the Contract or applicable quotation. Price includes packaging, VAT, sales tax consumption tax and any other tax and customs duty that Traxon is required to pay under applicable law. If Buyer claims a tax exemption or direct payment permit, it shall provide Traxon with a valid exemption certificate or permit and indemnify and defend Traxon from any taxes, costs and penalties arising out of same.

5.2 Traxon reserves the right to adjust prices based on market conditions or unanticipated increases in the cost of producing and shipping the Products, such as raw materials, components, fuel, exchange rates or taxes. Traxon will inform Buyer in writing of the price adjustment. Buyer shall be deemed to have accepted the price adjustment unless Buyer informs Traxon that it wishes to cancel the Order within 14 days after receipt of the notice of price adjustment.

5.3 All payments are net 30 Days from Invoice Date, unless mutually agreed in writing. No discount shall be allowed upon receipt of invoice or for early payment.

5.4 Time for payment is of the essence. In addition to any other remedies Traxon might be entitled to, interest shall accrue on any sums unpaid at the due date at the maximum amount permitted by law. Interest shall accrue from the due date until the date of receipt of all outstanding payments. In addition, Buyer shall compensate Traxon for any exchange loss between the payment currency and Traxon’s local currency.

5.5 Buyer shall not deduct or withhold from the payment any amount still in dispute where Buyer and Traxon have not reached agreement or settlement, or until any final arbitral award or judgment.

5.6 If the Buyer orders Product specifically made for Buyer, Traxon may require Buyer to pay a deposit prior to commencement of production of Buyer’s order. If Buyer cancels the Order or fails to pay the remainder of the purchase price when due, then, in addition to Traxon’s other available remedies under applicable law, Buyer shall forfeit the deposit.

6. Quality & Inspection

6.1 Upon delivery, Buyer shall inspect the shipment and verify the quantity and quality of the Product. Product shall be deemed accepted, and Buyer will waive any claim for defects or incomplete shipment, unless Buyer notifies Traxon of any defects or shortfalls within fourteen (14) days from the date of delivery.

6.2 Product is warranted to perform in accordance with Traxon’s quality standards and published specifications during the warranty claim period, subject to the terms and exclusions in the Traxon Warranty Statement. EXCEPT AS EXPRESSLY PROVIDED FOR IN THE CONDITIONS, SOFTWARE LICENSE AGREEMENT, WARRANTY STATEMENT OR CONTRACT, NO OTHER WARRANTY, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IS GIVEN BY TRAXON AND ANY ADDITIONAL WARRANTIES ARE HEREBY EXCLUDED TO THE EXTENT POSSIBLE.

7. Intellectual Property Rights and Software

7.1 All rights, title and interest in and to the Product, the Contract, the Order and/or the Order Confirmation (and any part thereof), other than those expressly granted herein, shall remain wholly vested in Traxon or its third-party licensors. Buyer acknowledges that it has no rights or licenses whatsoever in respect of the Product, the Contract, the Order or the Order Confirmation, save for the non-exclusive, limited right to use the Product and those expressly granted to it by this Contract.

7.2 If any Product ordered incorporates specifications, trademarks, copyrights, designs, technologies, information, patents or components required or provided by Buyer, then Buyer shall ensure that manufacture and sale of the Product by Traxon will not infringe any third party’s intellectual property rights, and shall indemnify and defend Traxon against any third-party claim of infringement arising from Traxon’s use of intellectual property provided or required by Buyer.

7.3 Nothing in this Contract, an Order or Order Confirmation entitles Buyer to use any trademark of Traxon or its third-party licensors, or any other mark confusingly similar thereto. Without the express prior written approval of the Traxon, no reference to the Traxon’s trade name and trademark shall be made, without limitation, on the Buyer’s stationeries, business cards, sales promotional materials or web pages/social media. If the Buyer is in the business of manufacturing products which incorporate Traxon’s Product, the use of Traxon’s trade name and trademarks on the Buyer’s products is strictly prohibited, except in cases where prior written approval has been obtained.

7.4 Any software included in the Order or embedded in the Product is licensed, not sold. The Software License Agreement (SLA) that accompanies the software governs the use, rights, warranty and restrictions for the software. By purchasing or using Traxon software, the Buyer hereby agrees to be bound by the SLA. The SLA should be read and understood carefully. Buyer may not transfer any software or rights to use the software unless specifically authorized by Traxon or otherwise permitted by law.

8. Cancellation

8.1 Traxon may immediately terminate the Confirmed Order if Buyer is insolvent, in bankruptcy, is appointed a receiver or liquidator, or is in proceedings of similar nature, or makes an assignment for the benefit of creditors.

8.2 If Traxon has reasonable grounds to question Buyer’s ability to pay, Traxon may require Buyer to provide security or advance payment in part or in full for any Order even if the security or advance payment is not contemplated under the Contract or in the initial Order and/or Order Confirmation. If the Buyer fails to provide such security or advance payment, Traxon may elect to terminate the Confirmed Order with immediate effect.

8.3 Confirmed Orders may only be cancelled with Traxon’s consent or as permitted in section 5.2. Buyer may not defer any order and will be liable for cancellation charges incurred by Traxon, which shall include without limitation a) payment of the full price for any finished Product or works in progress; b) payment for materials ordered pursuant to a Confirmed Order including any supplier’s restocking charges; and c) other direct costs incurred by Traxon as a result of Buyer’s cancellation.

9. Limitation of Liability

9.1 Regardless of the legal theory, Traxon shall not be liable for (a) business interruption, down time, inability to use Buyer’s equipment; (b) loss of revenue, lost savings, profits (including without limitation production profits, operating profits and resale profits) or sales or any other loss of possible benefit of Buyer; or (c) for any special, punitive, indirect, incidental or consequential damages of Buyer. Traxon’s liabilities shall in no event exceed a maximum amount of the total price of the corresponding Confirmed Order. In case any breach by Traxon of the Contract, the Conditions or the Confirmed Order may also give rise to a claim of tortuous act at the same time, Traxon shall only be liable for breach of contract.

9.2 Buyer shall indemnify, defend and hold Traxon harmless from and against all third party claims for losses, liabilities, costs and expenses, including legal fees, in relation to any loss or damage to property or injury to persons (including death) arising from (a) Buyer’s breach of any of its obligations under the Contract, Conditions or Confirmed Order; (b) negligent use, abuse, misuse, misapplication, improper installation, handling or implementation of the Product; and/or (c) any modification of the Product without the express written authorization of Traxon.

10. Miscellaneous

10.1 Neither party shall be liable to the other for any inability or delay in performing its obligations under these Conditions or the Contract, if such inability or delay results from an unforeseeable cause beyond the party’s reasonable control. These causes include, without limitation, acts or situations normally considered and called ‘acts of God’ or “Force Majeure” events, such as unavailability sources of materials and equipment, government priorities, or labor or transportation problems, provided that the party affected by a Force Majeure event shall use its best efforts to notify the other party of the inability or delay and minimize the impact of such Force Majeure event.

10.2 Each party shall protect and keep confidential all information that it receives from the other party which has been marked or identified as confidential or proprietary (“Confidential Information”). The receiving party will not disclose Confidential Information to any third party without the disclosing party’s prior written consent, except if the disclosure is to an attorney or adviser subject to a duty of confidentiality to the receiving party or is mandated by law – and will use the Confidential only for the purpose of the Contract. This obligation shall not apply to information: which is or becomes public knowledge other than through a breach of any obligation of confidentiality to the disclosing party; which is independently developed by the recipient of the information; or that is lawfully received from a third party. The receiving party’s duty to protect Confidential Information shall extend for a period of three (3) years from the later of the expiration of the party’s obligations under the Conditions or termination of the Contract. Breach of this provision shall be considered a material breach of the Conditions, and the disclosing party may seek injunctive relief to enforce this provision.

10.3 Except as provided in the Contract, the Conditions and the corresponding obligations of the parties shall be governed by the laws of the Commonwealth of Rhode Island / North Carolina. The United Nations Convention on Contracts for the International Sales of Goods is excluded.

10.4 The Conditions and all Confirmed Orders shall be an integral part of the Contract. The Contract, the Conditions, the Warranty and any applicable Software License Agreement shall constitute the entire Contract between Buyer and Traxon. Any changes to the Conditions or Confirmed Order must be in a writing that clearly identifies the change and is signed by Traxon.

10.5 Should any individual clause of these Conditions be held to be illegal, unenforceable or unfeasible, remaining clauses shall remain in full force and effect.

10.6 Neither party may assign the Conditions or Confirmed Order, in whole or in part, without the prior written consent of the other; provided however that Traxon may assign its rights and obligations under these terms to its affiliates and may grant a security interest in the receivables or assign proceeds of the sale without Buyer’s consent.

10.7 Buyer understands and agree that the limitations of liability set forth in the Conditions are a reasonable allocation of risk between the parties, and, absent such allocation, Traxon would not be able to charge the prices it is charging for the Product.

11. Compliance with Laws

11.1 Traxon and Buyer shall strictly comply with all laws and regulations applicable to the performance of the party’s obligations under the Order, Conditions or Contract, including any applicable anti-corruption laws.

11.2 Traxon shall not be obligated to fulfill its obligation hereunder if such fulfillment is prevented by any impediments arising out of national or international foreign trade or customs requirements or any embargos or other sanctions.

11.3 Compliance with Export Control Regulations:

  1. If Buyer transfers goods (hardware and/ or software and/ or technology as well as corresponding documentation, regardless of the mode of provision) delivered by Traxon or works and services (including all kinds of technical support) performed by Traxon to a third party worldwide, Buyer shall comply with all applicable national and international (re-) export control regulations (e.g., the United States of America).
  2. If required to conduct export control checks, Buyer, upon request by Traxon, shall promptly provide Traxon with all information pertaining to particular end customer, destination and intended use of goods, works and services provided by Traxon, as well as any export control restrictions existing.
  3. Buyer shall indemnify and hold harmless Traxon from and against any claim, proceeding, action, fine, loss, cost and damages arising out of or relating to any noncompliance with export control regulations by Buyer, and Buyer shall compensate Traxon for all losses and expenses resulting thereof, unless such noncompliance was not caused by fault of the Buyer. This provision does not imply a change in burden of proof.

Warranty Policy

Buyer agrees, when placing orders and accepting Products, in addition to General Sales Terms and Conditions of Traxon Technologies LLC (“Traxon”), to follow terms and conditions of this Limited Warranty Policy for the Products purchased from Traxon.

a. Upon delivery, the Buyer shall conduct an incoming inspection as to the quantity and quality of the Products. If no objection to the quantity and apparent defect in quality is raised within fourteen (14) days after delivery, the Products shall be deemed to be in full compliance with specifications and quality standards, and have been accepted by the Buyer with satisfactory quantity and quality and in good status. For any objection to defect of non-satisfaction of specifications and quality standards raised within five (5) years or three (3) years, respectively, as the case may be, for Traxon’s standard Products as provided in the product list in the Annex, its published catalogue or Traxon’s website, which may be updated by Traxon from time to time, or a specified period as separately agreed by Traxon and Buyer for non-standard Product in the applicable Confirmed Orders or user manual after delivery date or the date printed on corresponding invoices, whichever is earlier (“Claim Period”), which is not caused by the Buyer or a third party, the Buyer may report the defect to Traxon. Once Traxon confirms there exists a defect, it shall bear the direct expenses for repairs and/or replacements (excluding removal, installation and/or transportation of Product and/or insurance thereon) of the Product without bearing subsequent cost. Traxon reserves the right to (i) examine all Product to determine the cause of failure and patterns of usage and (ii) be the sole judge as to whether a Product is non-functioning and covered under this Limited Warranty Policy. Upon confirmation by Traxon that a defect exists, Traxon shall repair the Product and/or replace the Product with the same or similar product. This Warranty does not include labor (e.g. removal, installation and/or transportation of Product and/or insurance thereon) of the Product. For replaced or repaired Products, the Claim Period shall start from the original delivery date or invoice date, whichever is earlier, or if such date is unknown, from the date of manufacture. Traxon shall not be liable for any objection on quality of the Product raised by the Buyer after the Claim Period.

b. Traxon expressly declares that there are no warranties of merchantability and of fitness for a particular purpose, whether explicit or implied, with respect to Product sold hereunder. Further, except as expressly provided for herein, no other warranty, condition or term, whether express or implied is given by Traxon and all such warranties, conditions or terms are hereby excluded to the extent possible.

c. Coastal Environment Exclusion. Traxon expressly declares that there are no warranties of normal use of the Product sold hereunder within any coastal area of land that exists within 600m of salt water of any kind (“Coastal Environment”), except where the Product are defined as suitable for Coastal Environment.

d. The warranties stipulated herein sets forth the entire and sole remedy of the Buyer, and the entire and sole liability of Traxon arising from the quantity, quality, use and/or purposes of the Product delivered. For the avoidance of doubt, such remedy does not extend to:

i. improper use or application of Product for purposes not in line with installation guidelines, user manual, guidance, instructions, specification or the like issued by Traxon;

ii. damages to Product caused by installation not validated by Traxon;

iii. damages to Product caused by combination with other components or products not supplied by Traxon;

iv. Product where the original identification or marking information has been altered or removed; or

v. failure or defects caused by fire, fluctuations of electric voltage or current, or any natural disasters, force majeure, temperatures beyond scope as provided in specifications or other instructions or guidelines (e.g. lightning or storm).

vi. damages to coating on housing or finish materials of the Product caused by exposure to salty or corrosive environment or failure or defects in Product caused by the foregoing damages to coating on housing or finish materials, except where the Product are defined as suitable for Coastal Environment.

e. Return of non-functioning Product for repair and replacement shall follow procedures set out in the Traxon Return Policy.

f. Warranty period of Product specified by or customized for Buyer will be separately determined by Traxon in order confirmation and/or corresponding invoices.

g. Traxon reserves all rights to change or amend the Limited Warranty Policy from time to time without further notice to Buyer.

h. Warranty for any products that are not branded or manufactured by Traxon Technologies or e:cue (Third-Party Product) will be passed through from the Original Equipment Manufacturer (OEM) for the period provided by the applicable OEM warranty for the Third-Party Product. Please contact your local Traxon e:cue representative for additional information on Third-Party Product warranties.

Return Policy

Buyer agrees, when placing orders and accepting the products (each, a “Product”), to comply with Traxon’s General Sales Terms and Conditions and the terms of this Return Policy.

1. Return for Defect or Non-Function: Where authorized by the applicable Traxon Warranty Policy, return of a non-functioning Product must comply with the following process.

1.1 Any return of non-functional Product requires a pre-approval through a Return Material Authorization (RMA) Process by Traxon for repair or replacement only if Claim Period for such returned defective Product is still valid. Buyer shall contact Traxon’s local sales office to receive an RMA number and form.

1.2 Traxon will provide Buyer with a RMA number and instructions as to if, when and where to return the non-functional Product. All returns of non-functional Product will be associated with an RMA number and a copy of a completed RMA form by Buyer which describes the Product and defects.

1.3 No return of non-functional Product will be approved by Traxon without a valid Commencement or Commissioning Report endorsed by Traxon, if applicable.

1.4 All returns of non-functional Product must be delivered to the designated location in accordance with the RMA, at Buyer’s cost and risk, within 30 days commencing from the date of the RMA. Buyer shall bear all costs of transportation, freight charges, taxes, and customs duties, if applicable. To avoid any further damage, all returns of Product shall be packed in proper packaging and marked correctly.

1.5 Traxon may test if the defects exist, and such testing result shall be final and binding to Buyer. In case of a fault (material or manufacturer fault), Traxon will at its own choice repair or deliver a replacement free of charge or issue a credit note for Traxon products. Compensation of costs, including without limitation transportation costs, assembly and disassembly costs, shall be excluded.

2. Traxon reserves all rights to change or amend the Return Policy from time to time without further notice to Buyer.

Annex: Product List & Warranty Period

The warranty period for Traxon and e:cue products are listed in the table below.

Please note that the 3-year-warranty or 5-year-warranty only apply for Traxon & e:cue standard products. Products that have been changed according to customers’ demands (“customized” products) are excluded from the stated warranty period on this list.

Terms & Conditions

1. Definitions

1.1 “Buyer” shall mean the entity whose principal place of business is not in Germany that places an Order for Product with a Traxon Technologies company.

1.2 “Traxon” shall mean the Traxon Technologies company with whom the order is placed: Traxon Technologies Ltd., a Hong Kong company, or Traxon Supply USA, Inc., a New York corporation.

1.3 “Conditions” shall mean the General Sale Terms & Conditions set out in this document.

1.4 “Contract” shall mean the contract and/or agreement for the sale and purchase of the Product concluded between Buyer and Traxon.

1.5 “Product” shall mean the item or items which Traxon is to supply to the Buyer under the Contract and in accordance with the Conditions.

2. General

2.1 These General Sales Terms and Conditions (“Conditions”) apply to all sales of Product, and all quotations, order acknowledgements, and invoices from Traxon and to all Orders from Buyer and are the only terms and conditions applicable to the sale of the Product, except those relating solely to prices, quantities, delivery schedules, terms of payment, invoicing, shipping instructions, or descriptions of the products set forth in Buyer’s Order, or any alternate terms of sale contained in the Contract. If there is a conflict between these Conditions and the Contract, the provisions of the Contract shall prevail.

2.2 NO GENERAL TERMS OR CONDITIONS OF THE BUYER SHALL APPLY UNDER ANY CIRCUMSTANCES (INCLUDING ANY GENERAL TERMS OR CONDITIONS WHICH THE BUYER PURPORTS TO APPLY UNDER ANY ORDER, ACCEPTANCE OF ORDER, SPECIFICATIONS OR OTHER DOCUMENTS), UNLESS EXPRESSLY AGREED BY TRAXON IN WRITING.

3. Order & Confirmation

3.1 The Buyer shall send orders (“Orders”) to the Traxon in writing, listing the following items: (i) type(s) of Product; (ii) quantity of Product; (iii) applicable unit price; (iv) total price in the Order; and (v) time, place and conditions of delivery, according to Incoterms® 2010. Each Order may contain only one place of delivery, unless specifically requested for in the Order and confirmed by the Traxon either by written confirmation or delivery of Product to the requested locations. The Buyer shall be liable for any incorrect information in an Order.

3.2 An Order is not binding on Traxon unless and until it is confirmed by Traxon in writing or Traxon has delivered the Product to Buyer according to such Order (“Confirmed Order”).

3.3 If Traxon disagrees with certain items in the Order, Buyer and Traxon shall discuss in good faith and resolve the differences so that the Buyer can submit a final Order acceptable to Traxon. Alternatively, Traxon may issue an Order Confirmation with different terms for Buyer to accept.

4. Delivery

4.1 Unless otherwise agreed in writing between Buyer and Traxon, Product shall be delivered according to delivery terms (according to Incoterms 2010) specified in the Confirmed Order.

4.2 Risk of loss shall be transferred to Buyer upon delivery. Except as otherwise provided, title to Product shall be transferred upon delivery to Buyer and payment of the full purchase price.

4.3 Products are shipped in Traxon’s standard packaging unless otherwise agreed in writing. Buyer shall be responsible for the additional costs of any special packaging, delivery method or expedited delivery requested, which may be invoiced separately and in advance of shipment by Traxon.

4.4 Buyer shall take delivery according to the Confirmed Order. If the Buyer fails to take delivery, then:

  1. Product shall be deemed to be delivered and the risk of loss shall transfer upon Traxon’s making the Product available for Buyer according to the Confirmed Order;
  2. Traxon may elect, in its sole discretion, arrange for storage of the Product at Buyer’s sole expense; or
  3. Traxon may cancel the order without liability to Buyer, and Buyer shall reimburse Traxon for any reasonable costs associated with the cancelled delivery.


5. Price & Payment

5.1 The price term shall be according to the Incoterms (2010) as specified in the Confirmed Order. The price shall be denominated in the currency specified in the Contract or applicable quotation. Price includes packaging, VAT, sales tax consumption tax and any other tax and customs duty that Traxon is required to pay under applicable law. If Buyer claims a tax exemption or direct payment permit, it shall provide Traxon with a valid exemption certificate or permit and indemnify and defend Traxon from any taxes, costs and penalties arising out of same.

5.2 Traxon reserves the right to adjust prices based on market conditions or unanticipated increases in the cost of producing and shipping the Products, such as raw materials, components, fuel, exchange rates or taxes. Traxon will inform Buyer in writing of the price adjustment. Buyer shall be deemed to have accepted the price adjustment unless Buyer informs Traxon that it wishes to cancel the Order within 14 days after receipt of the notice of price adjustment.

5.3 All payments are net 30 Days from Invoice Date, unless mutually agreed in writing. No discount shall be allowed upon receipt of invoice or for early payment.

5.4 Time for payment is of the essence. In addition to any other remedies Traxon might be entitled to, interest shall accrue on any sums unpaid at the due date at a rate of the lesser of: three percent (3%) above the base lending rate of HSBC at the due date; or the maximum amount permitted by law. Interest shall accrue from the due date until the date of receipt of all outstanding payments. In addition, Buyer shall compensate Traxon for any exchange loss between the payment currency and Traxon’s local currency.

5.5 Buyer shall not deduct or withhold from the payment any amount still in dispute where Buyer and Traxon have not reached agreement or settlement, or until any final arbitral award or judgment.

5.6 If the Buyer orders Product specifically made for Buyer, Traxon may require Buyer to pay a deposit prior to commencement of production of Buyer’s order. If Buyer cancels the Order or fails to pay the remainder of the purchase price when due, then, in addition to Traxon’s other available remedies under applicable law, Buyer shall forfeit the deposit.

6. Quality & Inspection

6.1 Upon delivery, Buyer shall inspect the shipment and verify the quantity and quality of the Product. Product shall be deemed accepted, and Buyer will waive any claim for defects or incomplete shipment, unless Buyer notifies Traxon of any defects or shortfalls within fourteen (14) days from the date of delivery.

6.2 Product is warranted to perform in accordance with Traxon’s quality standards and published specifications during the warranty claim period, subject to the terms and exclusions in the Traxon Warranty Statement. EXCEPT AS EXPRESSLY PROVIDED FOR IN THE CONDITIONS, SOFTWARE LICENSE AGREEMENT, WARRANTY STATEMENT OR CONTRACT, NO OTHER WARRANTY, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IS GIVEN BY TRAXON AND ANY ADDITIONAL WARRANTIES ARE HEREBY EXCLUDED TO THE EXTENT POSSIBLE.

7. Intellectual Property Rights and Software

7.1 All rights, title and interest in and to the Goods, the Contract, the Order and/or the Order Confirmation (and any part thereof), other than those expressly granted herein, shall remain wholly vested in Traxon or its third party licensors. Buyer acknowledges that it has no rights or licenses whatsoever in respect of the Goods, the Contract, the Order or the Order Confirmation, save for the non-exclusive, limited right to use the Product and those expressly granted to it by this Contract.

7.2 If any Product ordered incorporates specifications, trademarks, copyrights, designs, technologies, information, patents or components required or provided by Buyer, then Buyer shall ensure that manufacture and sale of the Product by Traxon will not infringe any third party’s intellectual property rights, and shall indemnify and defend Traxon against any third party claim of infringement arising from Traxon’s use of intellectual property provided or required by Buyer.

7.3 Nothing in this Contract, an Order or Order Confirmation entitles Buyer to use any trademark of Traxon or its third party licensors, or any other mark confusingly similar thereto. Without the express prior written approval of the Traxon, no reference to the Traxon’s trade name and trademark shall be made, without limitation, on the Buyer’s stationeries, business cards, sales promotional materials or web pages/social media. If the Buyer is in the business of manufacturing products which incorporate Traxon’s Goods, the use of Traxon’s trade name and trademarks on the Buyer’s products is strictly prohibited, except in cases where prior written approval has been obtained.

7.4 Any software included in the Order or embedded in the Product is licensed, not sold. The Software License Agreement (SLA) that accompanies the software governs the use, rights, warranty and restrictions for the software. By purchasing or using Traxon software, the Buyer hereby agrees to be bound by the SLA. The SLA should be read and understood carefully. Buyer may not transfer any software or rights to use the software unless specifically authorized by Traxon or otherwise permitted by law.

8. Cancellation

8.1 Traxon may immediately terminate the Confirmed Order if Buyer is insolvent, in bankruptcy, is appointed a receiver or liquidator, or is in proceedings of similar nature, or makes an assignment for the benefit of creditors.

8.2 If Traxon has reasonable grounds to question Buyer’s ability to pay, Traxon may require Buyer to provide security or advance payment in part or in full for any Order even if the security or advance payment is not contemplated under the Contract or in the initial Order and/or Order Confirmation. If the Buyer fails to provide such security or advance payment, Traxon may elect to terminate the Confirmed Order with immediate effect.

8.3 Confirmed Orders may not be cancelled without Traxon’s consent or as permitted in section 5.2. Buyer may not defer any order and will be liable for cancellation charges incurred by Traxon, which shall include without limitation a) payment of the full price for any finished Product or works in progress; b) payment for materials ordered pursuant to a Confirmed Order including any supplier’s restocking charges; and c) other direct costs incurred by Traxon as a result of Buyer’s cancellation.

9. Limitation of Liability

9.1 Regardless of the legal theory, Traxon shall not be liable for (a) business interruption, down time, inability to use Buyer’s equipment; (b) loss of revenue, lost savings, profits (including without limitation production profits, operating profits and resale profits) or sales or any other loss of possible benefit of Buyer; or (c) for any special, punitive, indirect, incidental or consequential damages of Buyer. Traxon’s liabilities shall in no event exceed a maximum amount of the total price of the corresponding Confirmed Order. In case any breach by Traxon of the Contract, the Conditions or the Confirmed Order may also give rise to a claim of tortuous act at the same time, Traxon shall only be liable for breach of contract.

9.2 Buyer shall indemnify, defend and hold Traxon harmless from and against all third party claims for losses, liabilities, costs and expenses, including legal fees, in relation to any loss or damage to property or injury to persons (including death) arising from (a) Buyer’s breach of any of its obligations under the Contract, Conditions or Confirmed Order; (b) negligent use, abuse, misuse, misapplication, improper installation, handling or implementation of the Product; and/or (c) any modification of the Product without the express written authorization of Traxon.

10. Miscellaneous

10.1 Neither party shall be liable to the other for any inability or delay in performing its obligations under these Conditions or the Contract, if such inability or delay results from an unforeseeable cause beyond the party’s reasonable control. These causes include, without limitation, acts or situations normally considered and called ‘acts of God’ or “Force Majeure” events, such as unavailability sources of materials and equipment, government priorities, or labor or transportation problems, provided that the party affected by a Force Majeure event shall use its best efforts to notify the other party of the inability or delay and minimize the impact of such Force Majeure event.

10.2 Each party shall protect and keep confidential all information that it receives from the other party which has been marked or identified as confidential or proprietary (“Confidential Information”). The receiving party will not disclose Confidential Information to any third party without the disclosing party’s prior written consent, except if the disclosure is to an attorney or adviser subject to a duty of confidentiality to the receiving party or is mandated by law – and will use the Confidential only for the purpose of the Contract. This obligation shall not apply to information: which is or becomes public knowledge other than through a breach of any obligation of confidentiality to the disclosing party; which is independently developed by the recipient of the information; or that is lawfully received from a third party. The receiving party’s duty to protect Confidential Information shall extend for a period of three (3) years from the later of the expiration of the party’s obligations under the Conditions or termination of the Contract. Breach of this provision shall be considered a material breach of the Conditions, and the disclosing party may seek injunctive relief to enforce this provision.

10.3 Except as provided in the Contract, the Conditions and the corresponding obligations of the parties shall be governed by the law of the jurisdiction of where Traxon is incorporated or registered (i.e. the laws of Hong Kong, Germany or the State of New York). The United Nations Convention on Contracts for the International Sales of Goods is excluded.

10.4 The Conditions and all Confirmed Orders shall be an integral part of the Contract. The Contract, the Conditions, the Warranty and any applicable Software License Agreement shall constitute the entire Contract between Buyer and Traxon. Any changes to the Conditions or Confirmed Order must be in a writing that clearly identifies the change and is signed by Traxon.

10.5 Should any individual clause of these Conditions be held to be illegal, unenforceable or unfeasible, remaining clauses shall remain in full force and effect.

10.6 Neither party may assign the Conditions or Confirmed Order, in whole or in part, without the prior written consent of the other; provided however that Traxon may assign its rights and obligations under these terms to its affiliates and may grant a security interest in the receivables or assign proceeds of the sale without Buyer’s consent.

10.7 Buyer understands and agree that the limitations of liability set forth in the Conditions are a reasonable allocation of risk between the parties, and, absent such allocation, Traxon would not be able to charge the prices it is charging for the Product.

11. Compliance with Laws

11.1 Traxon and Buyer shall strictly comply with all laws and regulations applicable to the performance of the party’s obligations under the Order, Conditions or Contract, including any applicable anti-corruption laws.

11.2 Traxon shall not be obligated to fulfill its obligation hereunder if such fulfillment is prevented by any impediments arising out of national or international foreign trade or customs requirements or any embargos or other sanctions.

11.3 Compliance with Export Control Regulations

  1. If Buyer transfers goods (hardware and/ or software and/ or technology as well as corresponding documentation, regardless of the mode of provision) delivered by Traxon or works and services (including all kinds of technical support) performed by Traxon to a third party worldwide, Buyer shall comply with all applicable national and international (re-) export control regulations (e.g., the United States of America).
  2. If required to conduct export control checks, Buyer, upon request by Traxon, shall promptly provide Traxon with all information pertaining to particular end customer, destination and intended use of goods, works and services provided by Traxon, as well as any export control restrictions existing.
  3. Buyer shall indemnify and hold harmless Traxon from and against any claim, proceeding, action, fine, loss, cost and damages arising out of or relating to any noncompliance with export control regulations by Buyer, and Buyer shall compensate Traxon for all losses and expenses resulting thereof, unless such noncompliance was not caused by fault of the Buyer. This provision does not imply a change in burden of proof.

Product Warranty Statement

Buyer, when placing orders and accepting Goods, agrees, in addition to General Sales Terms and Conditions of Traxon Technologies Limited (“Traxon”), to follow terms and conditions of this Warranty Policy for the Goods purchased from Traxon.

a. Upon delivery, the Buyer shall conduct an incoming inspection as to the quantity and quality of the Goods. If no objection to the quantity and apparent defect in quality is raised within fourteen (14) days after delivery, the Goods shall be deemed to be in full compliance with specifications and quality standards, and have been accepted by the Buyer with satisfactory quantity and quality and in good status. For any objection to defect of non-satisfaction of specifications and quality standard raised within five (5) years or three (3) years, respectively, as the case may be, for Traxon’s standard Goods as provided in the product list in the Annex, its published catalogue or Traxon’s website, which may be updated by Traxon from time to time, or a specified period as separately agreed upon otherwise by Traxon and Buyer for non-standard Goods of Traxon in the respective applicable Confirmed Orders or user manual after delivery date or the date printed on corresponding invoices, whichever is earlier (“Claim Period”), which is not caused by the Buyer or a third party, the Buyer may report the defect to Traxon. Once Traxon confirms there exists a defect, it shall bear the direct expenses for repairs and/or replacements (excluding removal, installation and/or transportation of Goods and/or insurance thereon) of the Goods without bearing subsequent cost.

For replaced or repaired Goods, the Claim Period shall start from the original delivery date or invoice date, whichever is earlier. Traxon shall not be liable for any objection on quality of the Goods raised by the Buyer after Claim Period.

b. Traxon expressly declares that there are no warranties of merchantability and of fitness for a particular purpose, whether explicit or implied, with respect to Goods sold hereunder. Further, except as expressly provided for herein, no other warranty, condition or term, whether express or implied is given by Traxon and all such warranties, conditions or terms are hereby excluded to the extent possible.

c. Coastal Environment Exclusion. Traxon expressly declares that there are no warranties of normal use of the Goods sold hereunder within any coastal area of land that exists within 600m of a salt water of any kind (“Coastal Environment”), except the Goods are defined as suitable for Coastal Environment.

d. The warranties stipulated herein sets forth the entire and sole remedy of the Buyer, and the entire and sole liability of Traxon arising from the quantity, quality, use and/or purposes of the Goods delivered. For the avoidance of doubt, such remedy does not extend to:

  1. improper use or application of Goods for purposes not in line with installation guidelines, user manual, guidance, instructions, specification or the like issued by Traxon;
  2. damages to Goods caused by installation not validated by Traxon;
  3. damages to Goods caused by combination with other components or products not supplied by Traxon;
  4. Goods where the original identification or marking information has been altered or removed; or
  5. failure or defects caused by fire, fluctuations of electric voltage or current, or any natural disasters, force majeure, temperatures beyond scope as provided in specifications or other instructions or guidelines (e.g. lightening or storm).
  6. damages to coating on housing or finish materials of the Goods caused by exposure to salty or corrosive environment or failure or defects in Goods caused by the foregoing damages to coating on housing or finish materials.
  7. Return of defective Goods for repair and replacement shall follow procedures set out in the Return Policy of Traxon.
  8. Warranty period of Goods specified by or customized for Buyer will be separately determined by Traxon in order confirmation and/or corresponding invoices.
  9. Traxon reserves all rights to change or amend the Warrant Statement from time to time without further notice to Buyer.

Return Policy

Buyer agrees, when placing orders and accepting Goods, to comply with the General Sales Terms and Conditions of Traxon and the following terms and conditions of this Return Policy.

1.Return for Defect: Where authorized by the applicable Traxon Warranty Statement, return of defective Goods must comply with the following process.

1.1 Any return of defective Goods requires a pre-approval through a Return Material Authorization (RMA) Process by Traxon for repair or replacement only if Claim Period for such returned defective Goods is still valid. Buyer shall contact Traxon’s local sales office to receive an RMA number and form.

1.2 Traxon will provide Buyer with a RMA number and instructions as to if, when and where to return the defective Goods. All returns of defective Goods will be associated with an RMA number and a copy of filled-up RMA form by Buyer which describes the Goods and defects.

1.3 If applicable, no return of defective Goods will be approved by Traxon without a valid Commencement or Commissioning Report endorsed by Traxon.

1.4 All returns of defective Goods must be delivered to the designated location in accordance with RMA, at Buyer’s cost and risk, within 30 days commencing from the date of Traxon’s approval. Buyer shall bear all costs of transportation, freight charges, taxes, and customs duties, if applicable. To avoid any further damage, all returns of Goods shall be packed in proper packaging and marked correctly.

1.5 Traxon may test if the defects exist, and such testing result shall be final and binding to Buyer. In case of a fault (material or manufacturer fault), Traxon will at its own choice repair or deliver a replacement free of charge. Compensation of costs, including without limitation transportation costs, assembly and disassembly costs, shall be excluded.

2.Traxon reserves all rights to change or amend the Return Policy from time to time without further notice to Buyer.

International Conditions of Sale of TRAXON e:cue Goods for Customers not Resident in Germany

1. Application of the International Conditions of Sale

1.1. These International Conditions of Sale of Traxon Technologies Europe GmbH (“TRAXON”) apply to all customers of TRAXON whose relevant place of business is not in Germany. For customers whose place of business is in Germany, the General Conditions of Sale of TRAXON | e:cue goods for German Customers apply, which will be forwarded on request. In each case, the relevant place of business is the one which concludes the contract in its own name.

1.2. These International Conditions of Sale apply to the present and all subsequent contracts whose preponderant object is the supply of goods and/or software to customers. Additional obligations assumed by TRAXON do not affect the application of these International Conditions of Sale.

1.3. Conflicting or differing terms of business of the customer do not bind TRAXON, even if Traxon does not explicitly object to them or even if Traxon unconditionally renders performance or accepts the customer performance irrespective of the customer conflicting or differing terms of business. The provisions of this paragraph equally apply insofar as the terms of business of the customer, irrespective of the contents of these International Conditions of Sale, deviate from statutory provisions.

1.4. These International Conditions of Sale do not apply, if the customer buys the goods for personal, family or household use and if TRAXON knew or should have known that at the conclusion of the contract.

2. Formation of the Contract

2.1. The customer is under an obligation to give written notice to TRAXON prior to the formation of a contract if the goods to be delivered are to be fit not only for normal use or will be used in circumstances which are unusual or which present a particular risk to health, safety or the environment, or which require a more demanding use.

2.2. Orders of the customer are to be put in writing. If the customer order deviates from the proposal or the tender submitted by TRAXON, the customer will emphasize the differences as such. Illustrations and drawings just like the measures and weight indications featuring in TRAXON´s proposals or offers are only there as guidelines.

2.3. All orders, in particular also those received by employees of TRAXON, will take effect exclusively if followed by a written acknowledgement of the order by TRAXON. The actual delivery of the goods ordered, any other conduct of TRAXON or silence on the part of TRAXON does not allow the customer to assume the formation of the contract. TRAXON can dispatch such written acknowledgement of the order up to and including 14 calendar days after the customer order has been received by TRAXON. Until this time, the customer order is irrevocable.

2.4. The written acknowledgement of the order shall be received in time, if it is received by the customer within 14 calendar days after its date of printing. The customer will inform TRAXON without delay, if the written acknowledgement of the order is received with some delay.

2.5. The written acknowledgement of the order by TRAXON sets out all the terms of the contract and brings the contract into effect even if – except for the purchase price and the quantity to be delivered – the written acknowledgement deviates from the declarations of the customer in any other way, especially with reference to the exclusive application of these International Conditions of Sale. Particular wishes of the customer, namely warranties or guarantees with reference to the goods or the performance of the contract therefore require express written confirmation in every case. Regardless of the nature and extent of the deviations, the contract will only fail to come into existence if the customer specifies the deviations and objects to them in writing and the objection is received by TRAXON within a short time, at the latest seven calendar days after receipt of the written acknowledgement of the order by the customer.

2.6. TRAXON´s employees, commercial agents or other sales intermediaries are not authorized to dispense with the requirement of a written acknowledgement of the order by TRAXON or to make promises which differ from its content or guarantees. Changes to the concluded contract likewise require written confirmation by TRAXON.

3. Obligations of TRAXON

3.1. TRAXON must deliver the goods specified in the written acknowledgement of the order. TRAXON is not obliged to perform obligations not stated in the written acknowledgment of the order or in these International Conditions of Sale, in particular TRAXON is under no obligation to render planning-services, to deliver accessories not explicitly listed, to install additional safety devices, to carry out assemblies or to advise the customer. TRAXON is in no case liable to perform duties associated with the putting of the goods into circulation outside Germany.

3.2. TRAXON’s obligations under the contract made with the customer are owed only to the customer. Third parties not involved in the conclusion of the contract, in particular the customer clients, are not entitled to request delivery to be made to them or to bring any other contractual claim against TRAXON. The customer responsibility to take delivery continues to exist even if it assigns rights to third parties. The customer gives TRAXON an unlimited indemnity against all claims made by third parties against TRAXON out of the contract made with the customer. The indemnity includes in particular the reimbursement of expenses incurred by TRAXON and is granted by the customer waiving any further conditions or other objections, in particular waiving any defense of limitation.

3.3. TRAXON undertakes to deliver goods of average kind and quality taking account of the tolerances customary in trade concerning the kind, quantity, quality and packaging. If the goods cannot be delivered in the condition offered at the time of the formation of the contract because technical improvements to goods of series production were made, TRAXON is entitled to deliver the goods with the technical improvements. TRAXON is entitled to make part deliveries and to invoice them separately.

3.4. If further specification is required in relation to the goods to be delivered, TRAXON will carry this out having regard to its own interests and to the identifiable and legitimate interests of the customer. A request to the customer to specify the goods, or to participate in the specification, is not required. TRAXON does not undertake to inform the customer of the specification it has made or to give the customer the option of a differing specification.

3.5. TRAXON undertakes to place the goods at disposal for collection by the customer at the agreed time of delivery at the place of delivery indicated in the written acknowledgement of the order or by way of precaution at its premises in Paderborn/Germany. Previous separation or marking of the goods or notification to the customer of the goods being placed at disposal is not required. TRAXON is not obliged to arrange for the shipment of the goods or to insure the goods. Under no circumstances, not even when INCOTERMS are agreed TRAXON is obliged to inform the customer of the delivery. The agreement of INCOTERMS in Group F, Group C or Group D or of clauses such as „delivery free…….“ or similar ones merely involve a variation of the provisions as to the transportation and the transportation costs; moreover, the provisions laid down in these International Conditions of Sale continue to apply.

3.6. Agreed delivery time periods or delivery dates are subject to the customer procuring any required documents, releases, permits, approvals, licenses or any other authorizations or consents in sufficient time, opening letters of credit and/or making down-payments as agreed and performing all other obligations incumbent upon it properly and in good time. Moreover, agreed delivery time-periods begin on the date of the written acknowledgement of the order by TRAXON. TRAXON is entitled to deliver earlier than at the agreed delivery time.

3.7. Without prejudice to its continuing legal rights, TRAXON is entitled to fulfill its obligations after the delivery time agreed upon, if it informs the customer that it will exceed the delivery time limit and of the time period for late performance. Subject to the aforesaid conditions, TRAXON is entitled to make repeated attempts at late performance. The customer can object to late performance within reasonable time, if the late performance is unreasonable. An objection is only effective, if it is received by TRAXON before commencing late performance. TRAXON will reimburse necessary additional expenditure, proven and incurred by the customer as a result of exceeding the delivery time to the extent that TRAXON is liable for this under the provisions laid down in section 7.

3.8. Including where INCOTERMS or clauses such as „delivery free…….“ or alike are agreed risks as to price and performance even in relation to goods which are not clearly identifiable to the contract and without it being necessary for TRAXON to give notice, pass to the customer at the latest as soon as the loading of the goods has begun or as soon as the customer does not take delivery in accordance with the contract or title to the goods has passed to the customer. The loading of the goods is part of the customer’s obligations.

3.9. Including where INCOTERMS or clauses such as „delivery free…….“ or alike are agreed, TRAXON is not obliged to procure documents or certificates not expressly agreed, to obtain any licenses, authorizations or other documents necessary for the export, transit or import or to procure customs clearance. However, TRAXON renders at the customer’s request, risk and expense every assistance in obtaining the documents that the customer has required in writing.

3.10. TRAXON is not obliged to bear levies, duties and charges accruing outside Germany, to comply with weight and measuring systems, packaging, labeling or marking requirements or registration or certification obligations applicable outside Germany or to take back according to legal provisions regarding waste-disposal from the customer or a third party goods delivered to the customer or packaging material. Irrespective of any statutory provisions, the customer shall at its own cost take care of or in any other way ensure renewed utilization, material recycling or otherwise prescribed waste-disposal of the goods delivered by TRAXON to the customer and of the packaging material.

3.11. Without prejudice to its continuing legal rights, TRAXON is entitled to suspend the performance of its obligations so long as, in the opinion of TRAXON, there are grounds for concern that the customer will wholly or partly fail to fulfill its obligations in accordance with the contract. In particular, the right to suspend arises if the customer insufficiently performs its obligations to enable payment to TRAXON or a third party or pays late or if the limit set by a credit insurer has been exceeded or will be exceeded with the forthcoming delivery. Instead of suspending performance TRAXON is entitled at its own discretion to make future deliveries, even if confirmed, conditional on payment in advance or on opening of a letter of credit confirmed by one of the big German commercial banks. TRAXON is not required to continue with performance of its obligations, if an assurance given by the customer to avoid the suspension does not provide adequate security or could be challenged pursuant to an applicable law.

3.12. Except as provided in section 3.7., TRAXON is only obliged to inform the customer of possible disruption in performance, once the disruption is definitely known to TRAXON.

4. Price, Payment and Acceptance of the Goods

4.1. Irrespective of continuing obligations of the customer to guarantee or to enable payment, the customer undertakes to pay the agreed price in the currency specified in the written acknowledgement of the order transferring it without deduction and free of expenses and costs to the financial institution designated by TRAXON. To the extent that a price has not been agreed, the contract has nevertheless been validly concluded; in such a case the price which is at the agreed time of delivery TRAXON usual price will apply. TRAXON employees, commercial agents or other sales intermediaries are not authorized to accept payments.

4.2. The payment to be made by the customer is in any event due for payment at the time specified in the written acknowledgement of the order, or otherwise on receipt of the invoice. The due time for payment arises without any further pre-condition and, in particular, does not depend on whether the customer has already taken delivery of the goods and/or the documents and/or has had an opportunity to examine the goods. The periods granted for payment will cease to apply and outstanding accounts will be due for immediate payment, if insolvency proceedings relating to the assets of the customer are applied for or commenced, if the customer without providing a justifiable reason does not meet fundamental obligations due towards TRAXON or towards third parties, if the customer has provided inaccurate information regarding his creditworthiness or if the cover given by a credit insurer is reduced on grounds for which TRAXON is not responsible.

4.3. The customer warrants that all legal requirements for delivery free of German value added tax will be fulfilled. To the extent that TRAXON does not receive the document in proof of tax-free-export-delivery or TRAXON is called upon to pay value added tax as a result of the terms of delivery or of circumstances allocable to the customer, the customer will indemnify TRAXON in all and every respect without prejudice to any continuing claim by TRAXON. The indemnity is granted by the customer waiving any further requirements or other defenses, in particular waiving the defense of limitation or prescription and also includes the reimbursement of the expenses incurred by TRAXON.

4.4. Regardless of the currency and of the jurisdiction of any court, TRAXON is entitled at its own discretion to set off incoming payments against claims existing against the customer by virtue of its own or assigned rights at the time of payment.

4.5. Any statutory rights of the customer to set-off against claims of TRAXON are excluded, except where the corresponding claim of the customer is in the same currency, is founded in the customer own right and has either been finally adjudicated or is due and undisputed or acknowledged by TRAXON in writing.

4.6. Any statutory rights of the customer to suspend payment or to raise defenses or counterclaims are excluded, except where despite written warning TRAXON has committed a fundamental breach of its obligations due and arising out of the same contractual relationship, and has not offered any adequate assurance.

4.7. The customer undertakes to take delivery of the goods at the delivery time without taking any additional period of time and at the place of delivery indicated in the written acknowledgement of the order or by way of precaution at the premises of TRAXON in Paderborn/Germany. The customer is only entitled to refuse to take delivery if it exercises – in accordance with the rules in section 4.1 – its rights to avoid the contract.

5. Delivery of non-conforming Goods or Goods with Defective Title

5.1. Without prejudice to any exclusion or reduction of liability of the seller provided by law, delivery does not conform with the contract if the customer proves that, taking into account the terms in section 3., at the time the risk passes the packaging, quantity, quality or the description of the goods is significantly different to the specifications laid down in the written acknowledgement of the order, or in the absence of agreed specifications, the goods are not fit for the purpose which is usual in Germany. Even if the goods would have been non-conforming according to the legal requirements applicable in Germany, the goods shall be deemed to conform to the contract, to the extent that the legal requirements applicable at the place of business of the customer do not impede the usual use of the goods. Second-hand goods are delivered without any liability for their conformity.

5.2. To the extent that the written acknowledgement of the order does not contain an explicit statement to the contrary, TRAXON is in particular not liable for the goods being fit for a purpose which is not usual in Germany or for complying with further reaching expectations of the customer or for possessing the qualities of a sample or a model or for their compliance with the legal requirements existing outside of Germany, for instance in the customer country. Any assurance or guarantee required by the customer must always be agreed to as such in the written acknowledgement of the order, also in subsequent dealings. TRAXON shall also not be liable for any non-conformity with the contract occurring after the time the risk has passed. To the extent that the customer, either himself or through third parties, initiates the removal of non-conformities without the prior consent of TRAXON, TRAXON will be released from its liability.

5.3. The customer must examine the goods at the time of delivery and moreover as required by law and in so doing check every single delivery in every respect for any discoverable or typical lack of conformity with the contract. The obligation to examine the goods also applies to each and every installment or part-delivery.

5.4. Without prejudice to any exclusion or reduction of liability of the seller provided by law, the goods delivered have a deficiency in title if the customer proves that the goods are not free from enforceable rights or claims of third parties at the time risk passes. Without prejudice to further legal requirements, third parties rights or claims founded on industrial or other intellectual property constitute a deficiency in title only to the extent that the rights are registered and made public in Germany. Irrespective of the legal requirements applicable in Germany, title to the goods is not defective, to the extent that the legal requirements applicable at the place of business of the customer do not impede the usual use of the goods.

5.5. The customer shall give notice as required by law to TRAXON of any lack of conformity with the contract or of any deficiency in title, and in any event directly and in writing. TRAXON’s employees, commercial agents or other sales intermediaries are not authorized to accept notices or to make any statements concerning lack of conformity with the contract or of title and its consequences.

5.6. Following due notice according to section 5.5., the customer can rely on the remedies provided by these International Conditions of Sale. The customer has no other rights or claims whatsoever and no claims of a non-contractual nature. The satisfaction by TRAXON of the customer’s remedies does not constitute any acknowledgement causing a new beginning of the limitation period. The customer’s remedies for deficiency in title are subject to the same statute of limitations as are the remedies for lack of conformity. In the event of notice not having been properly given, the customer may only rely on remedies if TRAXON has fraudulently concealed the lack of conformity with the contract or the deficiency in title. Statements by TRAXON as to the lack of conformity with the contract or as to the deficiency in title are for the purpose of explaining the factual position only, but do not entail any waiver by TRAXON of the requirement of proper notice.

5.7. To the extent that the customer in accordance with the terms of these International Conditions of Sale is entitled to remedies because of delivery of non-conforming goods or goods with defective title, it is entitled to demand in accordance with the terms of the UN Sales Convention delivery of substitute goods or repair or to reduce the purchase price. Further claims for performance are not available to the customer.

Irrespective of the customer remedies, TRAXON is always entitled in accordance with the provision in section 3.7. to repair goods which do not conform with the contract or to supply substitute goods or to avert the customer remedies by giving it a credit note of an appropriate amount.

6. Avoidance of the Contract

6.1. The customer is only entitled to declare the contract avoided, if the respective applicable legal requirements are complied with, after it has threatened TRAXON with avoidance of the contract in writing and an additional period of time of reasonable length for performance fixed in writing has expired to no avail. If the customer claims delivery of substitute goods, repair or other performance, it is bound for a reasonable period of time to the chosen remedy, without being able to exercise the right of declaring the contract avoided. In any event, the customer must give notice of avoidance of the contract within reasonable time in writing and to TRAXON directly.

6.2. Without prejudice to its continuing legal rights, TRAXON is entitled to avoid the contract in whole or in part without compensation if the customer objects to the application of these International Conditions of Sale, if the written acknowledgement of the order is received by the customer more than 14 calendar days after its date of printing, if insolvency proceedings relating to the assets of the customer are applied for or commenced, if the customer without providing a justifiable reason does not meet fundamental obligations due towards TRAXON or towards third parties, if the customer has provided inaccurate information regarding its creditworthiness, if the cover given by a credit insurer is reduced on grounds for which TRAXON is not responsible, if TRAXON through no fault of its own does not receive supplies properly or on time, or if for other reasons TRAXON cannot be expected to fulfil its obligations by means which taking into consideration its own interests and that of the customer as far as ascertainable and legitimate at the time of formation of the contract, are unreasonable in particular in relation to the agreed counter-performance.

7. Damages

7.1. On the basis of the contract with the customer or in consequence of the contractual negotiations carried on with the customer TRAXON is only obliged to pay damages in accordance with the following provisions:

7.1.1. The customer is required in the first instance to rely on other remedies and can only claim damages in the event of a continuing deficiency. The customer cannot claim damages as an alternative to other remedies.

7.1.2. TRAXON is not liable for the conduct of suppliers or subcontractors or for damages to which the customer has contributed. Neither is TRAXON liable for impediments which occur, as a consequence of natural or political events, acts of state, industrial disputes, sabotage, accidents, terrorism, biological, physical or chemical processes or similar circumstances and which cannot be controlled by TRAXON with reasonable means. Moreover, TRAXON is only liable to the extent that its executive bodies or members of staff deliberately or in circumstances amounting to gross negligence breach contractual obligations owed to the customer.

7.1.3. In the event of liability TRAXON will compensate within the limits of lit. d) the proven loss to the customer to the extent that it was unavoidable for the customer and foreseeable to TRAXON, at the time of the formation of the contract in respect of the occurrence of the loss and its amount. The customer must advise TRAXON in writing before formation of the contract of particular risks, atypical possibilities for damages and unusual amounts of loss. The same applies if the goods have to be fit not only for a normal use but also will be used in circumstances which are unusual or which present a particular risk to health, safety or the environment. Moreover, the customer is required to mitigate its loss as soon as a breach of contract is or ought to be known.

7.1.4. TRAXON is not liable for loss of profit or damage to reputation. Moreover, the amount of damages for late or non-existent delivery is limited to 0,5 per cent for each full week of delay, up to a maximum of 5 per cent, and for other breaches of obligations is limited to an amount of 200 per cent of the value of the non-conforming part of the contract. However, this subparagraph does not apply to gross negligence by the executive bodies or the management of TRAXON.

7.1.5. For breach of contractual obligations owed to the customer, TRAXON is obliged to pay damages exclusively in accordance with the provisions of these International Conditions of Sale. Every reliance on concurrent bases of claim, in particular of a non-contractual nature, is excluded. Equally excluded is any recourse against TRAXON’s employees, servants, members of staff, representatives and/or those employed by TRAXON in the performance of its obligations on grounds of breach of contractual obligations owed by TRAXON.

7.1.6. Insofar as the limitation period may not already have barred the claim, claims for damages brought by the customer are excluded after six months beginning with the rejection of the claim for damages by TRAXON.

7.2. Irrespective of TRAXON’s continuing legal or contractual claims the customer is obliged to pay damages to TRAXON as follows:

7.2.1. In the event of delay in payment the customer will pay the costs of judicial and extra-judicial means and proceedings, usual and accruing within the country and abroad, as well as (without evidence being necessary) interest at the rate applicable in Germany for unsecured short-term loans in the agreed currency, at least however interest at 8 per cent over the base rate of the German Federal Bank (Deutsche Bundesbank).

7.2.2. In the case of a failure to accept delivery by the customer or of seriously late acceptance of delivery by the customer, TRAXON is entitled to claim damages without evidence being necessary up to 15 per cent of the value of the goods to be delivered.

7.3. Within the bounds of what is legally possible as well as within what is usual in the trade, the customer is in its commercial relationships with its clients obliged to limit its liability both in principle and in amount.

9. Other Provisions

9.1. Title of the goods that have been delivered remains with TRAXON until settlement of all claims existing against the customer. The allocation of risk as to price and performance in section 3.8 is not affected by the reservation of title.

9.2. In the case of late payment by the customer, without prejudice to TRAXON continuing claims TRAXON is entitled unilaterally and without compensation to modify the contract by reducing the customer’s as well as its own contractual obligations. The reduction of contractual obligations applies solely to obligations of the customer and of TRAXON which have not yet been performed at the time of the reduction and may only be made with the consequence that both the customer and TRAXON have satisfied their contractual obligations and are not obliged to perform further. The reduction does not apply to performance already rendered nor to any remedies of TRAXON.

9.3. Without prejudice to TRAXON continuing claims, the customer will indemnify TRAXON without limit against all claims of third parties which are brought against TRAXON on the grounds of product liability or similar provisions, to the extent that the liability is based on circumstances which – such as, for example, the presentation of the product – were caused by the customer or other third parties without express written consent of TRAXON. In particular, the indemnity also includes the reimbursement for expenses incurred by TRAXON and is granted by the customer waiving further conditions or other objections, in particular without requiring compliance with control and recall obligations, and waiving any defense of limitation.

9.4. In relation to pictures, drawings, calculations and other documents as well as computer-software, which have been made available by TRAXON in a material or electronic form, the latter reserves all proprietary rights, copyrights, other industrial property rights as well as know-how rights.

9.5. All communications, declarations, notices etc. are to be drawn up exclusively in German or English. Communications by means of fax or e-mail fulfill the requirement of being in writing.

9.6. The customer has a non-exclusive right to use the software delivered with the goods. The use of the software independently of the delivered goods and the passing on of the software to third parties is not permitted.

9.7. The customer shall (without being asked) inform TRAXON of, and keep TRAXON informed of, and whenever necessary and when first requested (but without prejudice to any wider claims by TRAXON) keep TRAXON wholly free from liability, in respect of any provisions in force outside Germany which apply to any delivery of goods to the customer, in particular any requirements to be observed by TRAXON as to registration of deliveries or prior notification of intended deliveries, any duties owed by TRAXON to retain documents and any other requirements prescribed outside Germany which TRAXON has to observe for access to a market.

10. Compliance with Export Control Regulations

10.1. If the customer transfers goods (hardware and/ or software and/ or technology as well as corresponding documentation, regardless of the mode of provision) delivered by TRAXON or works and services (including all kinds of technical support) performed by TRAXON to a third party worldwide, the customer shall comply with all applicable national and international (re-) export control regulations. In any event the customer shall comply with the (re-) export control regulations of the Federal Republic of Germany, of the European Union and of the United States of America.

10.2. If required to conduct export control checks, the customer, upon request by TRAXON, shall promptly provide TRAXON with all information pertaining to particular end customer, destination and intended use of goods, works and services provided by TRAXON, as well as any export control restrictions existing.

10.3. The customer shall indemnify and hold harmless TRAXON from and against any claim, proceeding, action, fine, loss, cost and damages arising out of or relating to any noncompliance with export control regulations by the customer, and the customer shall compensate TRAXON for all losses and expenses resulting thereof, unless such noncompliance was not caused by fault of the customer. This provision does not imply a change in burden of proof.

11. Compliance with Export Control Regulations
TRAXON’s obligation to fulfill this agreement is subject to the proviso that the fulfillment is not prevented by any impediments arising out of national and international foreign trade and customs requirements or any embargos or other sanctions.

12. General Basis of Contracts

12.1. The place of performance and payment for all obligations arising from the legal relationship between TRAXON and the customer is the place of delivery indicated in the written acknowledgement of the order or by way of precaution Paderborn/Germany. This provision also applies if TRAXON assumes the costs of money remittance, renders performance for the customer somewhere else or payment is to be made in exchange of documents or goods or in the case of restitution of performances already rendered. The agreement of INCOTERMS or clauses such as „delivery free…….“ or alike do not entail any change of the above rule as to the place of performance. TRAXON is also entitled to require payment at the place of business of the customer

12.2. The United Nations Convention of 11 April 1980 on Contracts for the International Sale of Goods (UN Sales Convention / CISG) in the English version as well as the usage in force in Germany governs the legal relationship with the customer. The UN Sales Convention applies, above and beyond its own area of application, and regardless of reservations adopted by other states, to all contracts to which these International Conditions of Sale are to be applied according to the provisions of section 1. Where standard terms of business are used, the INCOTERMS 2000 of the International Chamber of Commerce apply taking into account the provisions stipulated in these International Conditions of Sale.

12.3. The formation of contract, including agreements as to the jurisdiction of courts and arbitrators, and the rights and obligations of the parties, also including pre-contractual and collateral obligations, as well as the interpretation are exclusively governed by the UN Sales Convention together with these International Conditions of Sale. Outside the application of the UN Sales Convention, the legal relationship between the parties is governed by the non-uniform Swiss law, namely by the Swiss Obligationenrecht.

12.4. All contractual and extra-contractual disputes arising out of or in connection with contracts to which these International Conditions of Sale apply, shall be finally resolved by arbitration according to the Rules of the London Court of International Arbitration (LCIA) without recourse to the ordinary courts of law. The tribunal shall consist of three arbitrators, two of them shall be nominated by the respective parties, or if the amount in dispute is inferior to € 50.000, there shall be one arbitrator. The place of the arbitration shall be Zurich/Switzerland, the languages used in the arbitral proceedings shall be German and/or English. However, TRAXON is also entitled instead of a claim in arbitration to bring an action before the national Courts in Munich/Germany or at the customer’s place of business, or before other courts having jurisdiction according to domestic or foreign law. Every claim or counterclaim by the customer before a national court is excluded.

12.5. If provisions of these International Conditions of Sale should be or become partly or wholly ineffective, the remaining arrangements will continue to apply. The parties are bound to replace the ineffective provision with a legally valid provision, as close as possible to the commercial meaning and purpose of the ineffective provision.

Warranty Conditions

Buyer, when placing orders and accepting Goods, agrees, in addition to General Sales Terms and Conditions of Traxon Technologies Limited (“Traxon”), to follow terms and conditions of this Warranty Policy for the Goods purchased from Traxon.

a. Upon delivery, the Buyer shall conduct an incoming inspection as to the quantity and quality of the Goods. If no objection to the quantity and apparent defect in quality is raised within fourteen (14) days after delivery, the Goods shall be deemed to be in full compliance with specifications and quality standards, and have been accepted by the Buyer with satisfactory quantity and quality and in good status. For any objection to defect of non-satisfaction of specifications and quality standard raised within five (5) years or three (3) years, respectively, as the case may be, for Traxon’s standard Goods as provided in the product list in the Annex, its published catalogue or Traxon’s website, which may be updated by Traxon from time to time, or a specified period as separately agreed upon otherwise by Traxon and Buyer for non-standard Goods of Traxon in the respective applicable Confirmed Orders or user manual after delivery date or the date printed on corresponding invoices, whichever is earlier (“Claim Period”), which is not caused by the Buyer or a third party, the Buyer may report the defect to Traxon. Once Traxon confirms there exists a defect, it shall bear the direct expenses for repairs and/or replacements (excluding removal, installation and/or transportation of Goods and/or insurance thereon) of the Goods without bearing subsequent cost.

For replaced or repaired Goods, the Claim Period shall start from the original delivery date or invoice date, whichever is earlier. Traxon shall not be liable for any objection on quality of the Goods raised by the Buyer after Claim Period.

b. Traxon expressly declares that there are no warranties of merchantability and of fitness for a particular purpose, whether explicit or implied, with respect to Goods sold hereunder. Further, except as expressly provided for herein, no other warranty, condition or term, whether express or implied is given by Traxon and all such warranties, conditions or terms are hereby excluded to the extent possible.

c. Coastal Environment Exclusion. Traxon expressly declares that there are no warranties of normal use of the Goods sold hereunder within any coastal area of land that exists within 600m of a salt water of any kind (“Coastal Environment”), except the Goods are defined as suitable for Coastal Environment.

d. The warranties stipulated herein sets forth the entire and sole remedy of the Buyer, and the entire and sole liability of Traxon arising from the quantity, quality, use and/or purposes of the Goods delivered. For the avoidance of doubt, such remedy does not extend to:

  1. improper use or application of Goods for purposes not in line with installation guidelines, user manual, guidance, instructions, specification or the like issued by Traxon;

  2. damages to Goods caused by installation not validated by Traxon;

  3. damages to Goods caused by combination with other components or products not supplied by Traxon;

  4. Goods where the original identification or marking information has been altered or removed; or

  5. failure or defects caused by fire, fluctuations of electric voltage or current, or any natural disasters, force majeure, temperatures beyond scope as provided in specifications or other instructions or guidelines (e.g. lightening or storm).

  6. damages to coating on housing or finish materials of the Goods caused by exposure to salty or corrosive environment or failure or defects in Goods caused by the foregoing damages to coating on housing or finish materials.

e. Return of defective Goods for repair and replacement shall follow procedures set out in the Return Policy of Traxon.

f. Warranty period of Goods specified by or customized for Buyer will be separately determined by Traxon in order confirmation and/or corresponding invoices.

g. Traxon reserves all rights to change or amend the Warrant Statement from time to time without further notice to Buyer.

Return Policy

Buyer agrees, when placing orders and accepting Goods, to comply with the General Sales Terms and Conditions of Traxon and the following terms and conditions of this Return Policy.

1. Return for Defect: Where authorized by the applicable Traxon Warranty Statement, return of defective Goods must comply with the following process.

1.1 Any return of defective Goods requires a pre-approval through a Return Material Authorization (RMA) Process by Traxon for repair or replacement only if Claim Period for such returned defective Goods is still valid. Buyer shall contact Traxon’s local sales office to receive an RMA number and form.

1.2 Traxon will provide Buyer with a RMA number and instructions as to if, when and where to return the defective Goods. All returns of defective Goods will be associated with an RMA number and a copy of filled-up RMA form by Buyer which describes the Goods and defects.

1.3 If applicable, no return of defective Goods will be approved by Traxon without a valid Commencement or Commissioning Report endorsed by Traxon.

1.4 All returns of defective Goods must be delivered to the designated location in accordance with RMA, at Buyer’s cost and risk, within 30 days commencing from the date of Traxon’s approval. Buyer shall bear all costs of transportation, freight charges, taxes, and customs duties, if applicable. To avoid any further damage, all returns of Goods shall be packed in proper packaging and marked correctly.

1.5 Traxon may test if the defects exist, and such testing result shall be final and binding to Buyer. In case of a fault (material or manufacturer fault), Traxon will at its own choice repair or deliver a replacement free of charge. Compensation of costs, including without limitation transportation costs, assembly and disassembly costs, shall be excluded.

2.Traxon reserves all rights to change or amend the Return Policy from time to time without further notice to Buyer.

1. Geltung der Bedingungen, Allgemeines

Die Lieferungen, Leistungen und Angebote der Firma TRAXON TECHNOLOGIES EUROPE GmbH, Karl-Schurz-Straße 38, 33100 Paderborn, nachfolgend „TRAXON TECHNOLOGIES EUROPE“ genannt, erfolgen ausschließlich aufgrund dieser Geschäftsbedingungen. Diese gelten somit auch für alle künftigen Geschäftsbedingungen, auch wenn sie nicht nochmals ausdrücklich vereinbart werden.

2. Angebot und Vertragsabschluss

2.1. In den Prospekten, Anzeigen usw. enthaltene Angebote sind – auch bezüglich der Preisangaben – freibleibend und unverbindlich. An speziell ausgearbeitete Angebote hält sich TRAXON TECHNOLOGIES EUROPE 14 Kalendertage gebunden.

2.2. Der Kunde ist vier Wochen an seinen Auftrag gebunden. Aufträge bedürfen zur Rechtswirksamkeit der schriftlichen Bestätigung durch TRAXON TECHNOLOGIES EUROPE.

2.3. Bestellt der Kunde schriftlich Ware bei TRAXON TECHNOLOGIES EUROPE, so kommt der Kaufvertrag mit dem Eingang der Bestellung bei uns zustande.

2.4. Alle Vereinbarungen, die zwischen TRAXON TECHNOLOGIES EUROPE und dem Kunden zwecks Ausführung dieses Vertrages getroffen werden, sind in diesem Vertrag schriftlich niederzulegen.

2.5. Der Käufer prüft den Lieferumfang bei Übergabe und erkennt ihn an wie besichtigt.

2.6. Erwirbt der Käufer Geräte, bei denen aufgrund fehlender Zulassungen oder Verbote die Inbetriebnahme eingeschränkt oder verboten ist, so verpflichtet er sich, diese Einschränkungen oder Verbote einzuhalten. Er stellt TRAXON TECHNOLOGIES EUROPE diesbezüglich von jeder Haftung frei.

2.7. Bei Software werden automatisch die Beschränkungen der Lizenzbedingungen sowie die einschränkenden Nutzungs- und Gewährleistungsbestimmungen des jeweiligen Herstellers mit vereinbart.

3. Preise, Preisänderungen

3.1. Die Preise verstehen sich, sofern nicht anders angegeben, zuzüglich der bei Rechnungserstellung gültigen gesetzlichen Mehrwertsteuer.

3.2. Die entstehenden Kosten für Verpackung und Fracht trägt der Käufer. TRAXON TECHNOLOGIES EUROPE ist berechtigt Waren per Nachnahme zu versenden.

4. Lieferzeiten

4.1. Liefertermine oder -fristen, die verbindlich oder unverbindlich vereinbart werden können, bedürfen der Schriftform.

4.2. Schadenersatzansprüche oder Regressansprüche durch Überschreitung der genannten Liefertermine sind ausgeschlossen.

4.3. Der Käufer ist auch zur Abnahme von Teillieferungen verpflichtet, ohne dass es seiner vorherigen Zustimmung bedarf.

4.4. Kommt der Käufer in Annahmeverzug oder verletzt er schuldhaft sonstige Mitwirkungspflichten, so ist TRAXON TECHNOLOGIES EUROPE berechtigt, den uns insoweit entstehenden Schaden, einschließlich etwaiger Mehraufwendungen ersetzt zu verlangen. Weitergehende Ansprüche bleiben vorbehalten.

Sofern vorstehende Voraussetzungen vorliegen, geht die Gefahr eines zufälligen Untergangs oder einer zufälligen Verschlechterung der Kaufsache in dem Zeitpunkt auf den Besteller über, in dem dieser in Annahme- oder Schuldnerverzug geraten ist.

5. Versand und Gefahrübergang

Die Gefahr geht auf den Käufer über, sobald die Sendung an die den Transport ausführende Person übergeben worden ist oder zwecks Versendung das Werk von TRAXON TECHNOLOGIES EUROPE verlassen hat. Wird der Versand auf Wunsch des Käufers verzögert, geht die Gefahr mit der Meldung der Versandbereitschaft auf ihn über.

6. Gewährleistung

6.1. Die Gewährleistungsfrist beträgt 12 Monate ab Lieferscheindatum.

6.2. Ist der Liefergegenstand mangelhaft oder fehlen ihm zugesicherte Eigenschaften oder wird er innerhalb der Gewährleistungsfrist durch Fabrikations- oder Materialmängel schadhaft, gewährt TRAXON TECHNOLOGIES EUROPE gem. § 439 BGB dem Käufer nach seiner Wahl Ersatz oder bessert nach.

Mehrfache Nachbesserungen sind zulässig.

6.3. Schlägt die Nachbesserung oder die Ersatzlieferung nach angemessener Frist fehl, kann der Käufer vom Vertrag zurücktreten.

6.4. Offensichtliche Mängel müssen TRAXON TECHNOLOGIES EUROPE unverzüglich, spätestens jedoch innerhalb einer Woche nach Lieferung schriftlich mitgeteilt werden.

Die mangelhaften Liefergegenstände sind in dem Zustand, in dem sie sich im Zeitpunkt der Feststellung des Mangels befinden, unverzüglich TRAXON TECHNOLOGIES EUROPE zu übersenden.

6.5. Die vorstehenden Regelungen dieses Paragraphen gelten nicht für ungeprüfte Gebrauchtgegenstände, die unter Ausschluss jeglicher Gewährleistung geliefert werden.

7. Haftungsbegrenzung

7.1. Schadensersatzansprüche aus positiver Forderungsverletzung, aus Verschulden bei Vertragsabschluss und aus unerlaubter Handlung sind sowohl gegen TRAXON TECHNOLOGIES EUROPE als auch gegen seine Erfüllungs- bzw. Verrichtungsgehilfen ausgeschlossen, soweit der Schaden nicht vorsätzlich oder grob fahrlässig verursacht wurde. Dies gilt nicht für Schadensersatzansprüche aus Eigenschaftszusicherungen, die den Käufer gegen das Risiko von Mängelfolgeschäden absichern sollen.

7.2. Ausgeschlossen sind alle Ansprüche auf Ersatz von entgangenem Gewinn, ausgebliebenen Einsparungen, mittelbaren Schäden oder Folgeschäden. Dies gilt nicht bei Fehlen zugesicherter Eigenschaften, Vorsatz und grober Fahrlässigkeit sowie Verletzung wesentlicher Vertragspflichten. In diesen Fällen ist unsere Haftung auf den Ersatz des im Zeitpunkt des Vertragsabschlusses typischerweise vorhersehbaren Schadens beschränkt.

7.3. TRAXON TECHNOLOGIES EUROPE haftet in keinem Fall für Schäden, die sich aus dem Ausfall von Netzeinrichtungen oder Fehlfunktionen von Gerätschaften fremder Hersteller ergeben. Die Haftung ist ebenfalls ausgeschlossen für Schäden, die durch unberechtigte Eingriffe des Kunden entstanden sind. Im Übrigen ist die Haftung auf Vorsatz und grobe Fahrlässigkeit beschränkt.

9. Eigentumsvorbehalt

9.1. Bis zur Erfüllung aller Forderungen, die TRAXON TECHNOLOGIES EUROPE aus jedem Rechtsgrund gegen den Käufer jetzt oder künftig zustehen, behält sich TRAXON TECHNOLOGIES EUROPE das Eigentum an den gelieferten Waren vor (Vorbehaltsware). Der Käufer darf über die Vorbehaltsware nicht verfügen.

9.2. Bei Zugriffen Dritter – insbesondere Gerichtsvollzieher – auf die Vorbehaltsware wird der Käufer auf das Eigentum von TRAXON TECHNOLOGIES EUROPE hinweisen und diese unverzüglich benachrichtigen, damit TRAXON TECHNOLOGIES EUROPE seine Eigentumsrechte durchsetzen kann. Soweit der Dritte nicht in der Lage ist, TRAXON TECHNOLOGIES EUROPE die in diesem Zusammenhang entstehenden gerichtlichen oder außergerichtlichen Kosten zu erstatten, haftet hierfür der Käufer.

9.3. Bei vertragswidrigem Verhalten des Käufers – insbesondere bei Zahlungsverzug – ist TRAXON TECHNOLOGIES EUROPE berechtigt, die Vorbehaltsware auf seine Kosten zurückzunehmen. Die Zurücknahme sowie die Pfändung der Vorbehaltsware durch TRAXON TECHNOLOGIES EUROPE ist gemäß § 13 Abs. 3 Verbraucherkreditgesetz stets als Rücktritt vom Vertrag anzusehen.

10. Zahlung

10.1. Zahlungen mit befreiender Wirkung können nur unmittelbar an TRAXON TECHNOLOGIES EUROPE oder ein von diesem angegebenes Bank- oder Postscheckkonto erfolgen.

10.2. Der Abzug von Skonto ist nur bei schriftlicher besonderer Vereinbarung zulässig.

10.3. Rechnungen von TRAXON TECHNOLOGIES EUROPE sind, wenn nicht anders angegeben, fällig zwei Wochen nach Rechnungsstellung. Ab Fälligkeit sind Rechnungsbeträge mit 11% jährlich zu verzinsen. Werden die Zahlungsziele nicht eingehalten, werden pro Mahnung 7,50 € berechnet. Die Geltendmachung eines höheren Verzugsschadens bleibt vorbehalten.

10.4. Die Ablehnung von Schecks oder Wechseln behält sich TRAXON TECHNOLOGIES EUROPE ausdrücklich vor. Die Annahme erfolgt stets nur zahlungshalber. Diskont und Wechselspesen gehen zu Lasten des Käufers und sind sofort fällig.

10.5. TRAXON TECHNOLOGIES EUROPE ist berechtigt, trotz anders lautender Bestimmungen des Käufers Zahlungen zunächst auf dessen ältere Schulden anzurechnen und wird den Käufer über die Art der erfolgten Verrechnung informieren. Sind bereits Kosten und Zinsen entstanden, so ist TRAXON TECHNOLOGIES EUROPE berechtigt, die Zahlung zunächst auf die Kosten, dann auf die Zinsen und zuletzt auf die Hauptleistung anzurechnen.

10.6. Der Käufer ist zur Aufrechnung nur berechtigt, wenn die Gegenforderung unbestritten oder rechtskräftig festgestellt ist. Zur Ausübung eines Zurückbehaltungsrechts ist der Käufer nur insoweit befugt, als sein Gegenanspruch auf dem gleichen Vertragsverhältnis beruht.

11. Einhaltung von Exportkontrollbestimmungen

11.1. Der Käufer hat bei Weitergabe der von TRAXON TECHNOLOGIES EUROPE gelieferten Waren (Hardware und/ oder Software und/ oder Technologie sowie dazugehörige Dokumentation, unabhängig von der Art und Weise der Zurverfügungstellung) oder der von TRAXON TECHNOLOGIES EUROPE erbrachten Werk- und Dienstleistungen (einschließlich technischer Unterstützung jeder Art) an Dritte im In- und Ausland die jeweils anwendbaren Vorschriften des nationalen und internationalen (Re-) Exportkontrollrechts einzuhalten. In jedem Fall hat er dabei die (Re-) Exportkontrollvorschriften der Bundesrepublik Deutschland, der Europäischen Union und der Vereinigten Staaten von Amerika zu beachten.

11.2. Sofern für Exportkontrollprüfungen erforderlich, wird der Käufer TRAXON TECHNOLOGIES EUROPE nach Aufforderung unverzüglich alle Informationen über Endempfänger, Endverbleib und Verwendungszweck der von TRAXON TECHNOLOGIES EUROPE gelieferten Waren bzw. erbrachten Werk- und Dienstleistungen sowie diesbezügliche Exportkontrollbeschränkungen übermitteln.

11.3. Der Käufer stellt TRAXON TECHNOLOGIES EUROPE von allen Ansprüchen, die von Behörden oder sonstigen Dritten gegenüber TRAXON TECHNOLOGIES EUROPE wegen der Nichtbeachtung vorstehender exportkontrollrechtlicher Verpflichtungen durch den Besteller geltend gemacht werden, in vollem Umfang frei und verpflichtet sich zum Ersatz aller Traxon in diesem Zusammenhang entstehenden Schäden und Aufwendungen, es sei denn, der Käufer hat die Pflichtverletzung nicht zu vertreten. Eine Umkehr der Beweislast ist hiermit nicht verbunden.

12. Vorbehaltsklausel

Die Vertragserfüllung seitens TRAXON TECHNOLOGIES EUROPE steht unter dem Vorbehalt, dass der Erfüllung keine Hindernisse aufgrund von nationalen oder internationalen Vorschriften des Außenwirtschaftsrechts sowie keine Embargos und/oder sonstige Sanktionen entgegenstehen.

13. Sonstige Vereinbarungen

13.1. Dieser Vertrag und die gesamten Rechtsbeziehungen der Parteien unterliegen dem Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (CISG).

13.2. Nebenabreden, Änderungen und Ergänzungen sowie alle rechtserheblichen Erklärungen bedürfen der Schriftform.

13.3. Sollten einzelne oder mehrere Bestimmungen dieser allgemeinen Geschäftsbedingungen ganz oder teilweise unwirksam sein oder werden, so wird die Gültigkeit der übrigen Bestimmungen nicht berührt.

13.4. Kann sich ein Vertragsteil aufgrund zwingender Vorschriften auf eine Geschäftsbedingung nicht berufen, so gilt dies auch für den anderen Teil, es sei denn, dass die gesetzliche Verbotsnorm den Schutz des jeweils anderen Teils bezweckt.

13.5. Soweit und solange eine der Bestimmungen dieser Geschäftsbedingungen zwingenden gesetzlichen Vorschriften widerspricht, tritt an ihre Stelle für die Geltungsdauer der gesetzlichen Vorschrift die entsprechende gesetzliche Regelung.

13.6. Erfüllungsort für Zahlungen und Lieferungen ist Paderborn, Gerichtsstand ist Paderborn.

Garantie

3-Jahres-Garantie

o    Die 3-Jahres-Garantie erstreckt sich ausschließlich auf die
folgenden 
Traxon
und e:cue Produkte
, die
entsprechend den Traxon-Vorgaben und geltenden IEC-Vorschriften betrieben
werden. Die Garantiezeit beginnt mit dem zeitigeren der beiden folgenden Daten:
Tag der Lieferung bzw. Tag des Rechnungsdatums.

o    Traxon behält sich vor, über die Berechtigung des
Garantieanspruches selbst zu entscheiden. Dies erfordert eine Rücksendung von
ausgefallenen Traxon bzw. e:cue Produkte zur Fehleranalyse (mit Übersendung
einer Kopie des Lieferscheins oder der Rechnung).

o    Im Falle eines Mangels (Material- oder Herstellfehler)
übernimmt Traxon nach eigener Wahl die kostenlose Reparatur der Traxon bzw.
e:cue Produkte, liefert kostenlosen Ersatz oder erteilt eine Gutschrift für
Traxon bzw. e:cue Produkte, die nachweislich aufgrund eines Material- oder
Herstellerfehlers im jeweiligen Garantiezeitraum ausgefallen sind. Kosten, wie
z.B. Transportkosten oder Ein- und Ausbaukosten, werden nicht ersetzt.

o    Die gewährte Garantie gilt ausschließlich für mangelhafte
Traxon und e:cue Produkte und unter der Bedingung, dass die Produkte in
Übereinstimmung mit den vorgegebenen Produkt- und Anwendungsspezifikationen
(Datenblatt) verwendet werden und fachmännisch (gemäß dem Produkt beigelegter
Montageanleitung) installiert und in Betrieb gesetzt wurden. Grenzwerte für
Temperaturen (unter anderem Referenztemperatur an der Leuchte) und Spannungen
dürfen nicht überschritten werden.

o    Aufgrund des technischen Fortschritts sowie der
nutzungsbedingten Veränderung des Lichtstroms von Produkten kann es bei
Nachlieferungen von LED-Lichtquellen zu Abweichungen in den Lichteigenschaften
gegenüber den Ursprungsprodukten kommen.

o    Gesetzliche Gewährleistungsansprüche bleiben von dieser
Garantie unberührt und gelten unabhängig davon und parallel dazu.

o    Die Abwicklung von Garantiefällen erfolgt über die
Traxon-Niederlassung in Köln. Vor der Rücksendung eines defekten Produkts muss
Traxon zwecks Mitteilung einer RMA-Nummer (Return Material Authorization)
kontaktiert werden. Den eingesendeten Produkten sind die RMA Nummer und eine Kopie
des vollständig ausgefüllten RMA-Formulars beizufügen.

  5-Jahres-Garantie

o    Die 5-Jahres-Garantie erstreckt sich ausschließlich auf die
folgenden 
Traxon
und e:cue Produkte
, die
entsprechend den Traxon-Vorgaben und geltenden IEC-Vorschriften betrieben
werden. Die Garantiezeit beginnt mit dem zeitigeren der beiden folgenden Daten:
Tag der Lieferung bzw. Tag des Rechnungsdatums.

o    Traxon behält sich vor, über die Berechtigung des
Garantieanspruches selbst zu entscheiden. Dies erfordert eine Rücksendung von
ausgefallenen Traxon bzw. e:cue Produkte zur Fehleranalyse (mit Übersendung
einer Kopie des Lieferscheins oder der Rechnung).

o    Im Falle eines Mangels (Material- oder Herstellfehler)
übernimmt Traxon nach eigener Wahl die kostenlose Reparatur der Traxon bzw.
e:cue Produkte, liefert kostenlosen Ersatz oder erteilt eine Gutschrift für

z.B. Transportkosten oder Ein- und Ausbaukosten, werden nicht ersetzt.

o    Die gewährte Garantie gilt ausschließlich für mangelhafte
Traxon und e:cue Produkte und unter der Bedingung, dass die Produkte in
Übereinstimmung mit den vorgegebenen Produkt- und Anwendungsspezifikationen
(Datenblatt) verwendet werden und fachmännisch (gemäß dem Produkt beigelegter
Montageanleitung) installiert und in Betrieb gesetzt wurden. Grenzwerte für
Temperaturen (unter anderem Referenztemperatur an der Leuchte) und Spannungen
dürfen nicht überschritten werden.

o    Aufgrund des technischen Fortschritts sowie der
nutzungsbedingten Veränderung des Lichtstroms von Produkten kann es bei
Nachlieferungen von LED-Lichtquellen zu Abweichungen in den Lichteigenschaften
gegenüber den Ursprungsprodukten kommen.

o    Gesetzliche Gewährleistungsansprüche bleiben von dieser
Garantie unberührt und gelten unabhängig davon und parallel dazu.

o    Die Abwicklung von Garantiefällen erfolgt über die
Traxon-Niederlassung in Köln. Vor der Rücksendung eines defekten Produkts muss
Traxon zwecks Mitteilung einer RMA-Nummer (Return Material Authorization)
kontaktiert werden. Den eingesendeten Produkten sind die RMA Nummer und eine Kopie
des vollständig ausgefüllten RMA-Formulars beizufügen.

Rückgabe Bedingungen

Der Käufer erklärt sich bei der Bestellung und Annahme von Waren bereit, zusätzlich zu den Allgemeinen Verkaufsbedingungen der TRAXON TECHNOLOGIES EUROPE GmbH („TRAXON”), die Voraussetzungen und Bedingungen dieses Rückgaberechts für die von TRAXON gekauften Waren zu befolgen.

 1.     Zurückgeschickte Ware wird mit einer RMA-Nummer und mit einer Kopie des vom Käufer ausgefüllten RMA-Formulars, das die Waren beschreibt, versehen. Kontaktieren Sie bitte unser lokales Vertriebsbüro, um die RMA Nummer und das RMA Formular zu erhalten.

2.     Rückgabe wegen Mangels:

2.1.   Fehlerhafte Produkte sollen an die im RMA-Formular erwähnte Adresse, das vom lokalen Vertriebsbüro zur Verfügung gestellt wird, zurückgeschickt werden.

2.2.   Im Falle eines Mangels (Material- oder Herstellungsfehler) wird TRAXON nach eigener Wahl das Produkt reparieren oder kostenlos Ersatz liefern oder eine Gutschrift für „TRAXON | e:cue“-Produkte ausstellen, wenn das Produkt nachweislich einen Material- oder Herstellungsfehler innerhalb der jeweiligen Garantiedauer hat. Die Übernahme von weiteren Kosten, einschließlich aber nicht beschränkt auf Transportkosten und Kosten der Montage und Demontage, ist ausgeschlossen.

 3.     Alle zurückgebrachten Waren müssen einwandfrei verpackt und korrekt gekennzeichnet werden.
